Documents to Verify your Business for Funding with Viably

We've made a comprehensive list of documents we may need you to supply, based on what type of business you have.

Corporation (Inc or Corp)

  • We may require your business’ “Articles of Incorporation” or “Articles of Association.” This Certificate of Incorporation defines basic info about the business (the business’ name, purpose for which its formed, names and details about the incorporators) and establishes the rules that govern management of the company.

  • Acceptable documents to verify your Corporation:

    • Certificate of Incorporation

    • By-Laws

    • Registration of Alternate / Fictitious Name Statement (if application)

    • SS-4 (IRS letter with the business' assigned tax ID / EIN) or W-9


  • Limited Liability Company (LLC)

    • To validate your business as an LLC, we may require the Articles of Organization (or Certificate of Organization/Formation). This includes your business name, purpose, registered agent, management structure, and how long your LLC will operate. We may also require an operating agreement (detailing the rights and responsibilities of members of the LLC).

    • Documents to verify your LLC:

      • Articles of Organization (or Certificate of Formation)

      • Operating Agreement

      • Registration of Alternate/Fictitious Name (if applicable)

      • SS-4 (IRS letter with your assigned tax ID or EIN) or W-9

  • General Partnership

    • To verify your general partnership business, we may require a Partnership Agreement, essentially an organizing document with the partnership name or names of the partners.

    • Acceptable documents to verify your General Partnership:

      • Partnership Agreement

      • Registration of Alternate/Fictitious Name (if applicable)

      • SS-4 (IRS letter with your assigned tax ID or EIN) or W-9

  • Limited Partnership

    • To help us validate your Limited Partnership, we may require organizing documents from the state in which your business was formed. This may include a Partnership Agreement, Certificate of Limited Partnership, or Certificate of Good Standing.

    • Acceptable documents to verify your Limited Partnership:

      • Partnership Agreement

      • Certificate of Limited Partnership

      • Registration of Alternate/Fictitious Name (if applicable)

      • SS-4 (IRS letter with your assigned tax ID or EIN) or W-9

  • Limited Liability Partnership (LLP)

    • We may need additional documentation to verify your LLP. This may include a Limited Liability Partnership Agreement or a Certificate of Good Standing.

    • Acceptable documents to verify your LLP:

      • Partnership Agreement

      • Certificate of Limited Partnership

      • Registration of Alternate/Fictitious Name (if applicable)

      • SS-4 (IRS letter with your assigned tax ID or EIN) or W-9

  • Sole Proprietor / “Doing Business As” (DBA)

    • To validate your business as a Sole Proprietor or a DBA, we may need your Business License (or Occasional Tax License, with your first and last name as the owner). We may also require name filing documents or a certified copy of a DBA (like a Fictitious Name Certificate or a Certificate of Assumed Business Name).

    • Acceptable documents to verify your DBA:

      • IRS Letter assigning EIN / Tax ID Filing Receipt

      • Registration of Alternate/Fictitious Name (if applicable)

      • SS-4 (IRS letter with your assigned tax ID or EIN) or W-9

  • Not for Profit Corporation

    • To verify your business as a Not For Profit Corporation, we may need your documented charter or Articles of Organization (legal document filed with the Secretary of State, showing when your company was formed and the officers of your organization).

    • Acceptable documents to verify your Not for Profit Corporation:

      • Certificate of Incorporation

      • By-Laws

      • Secretary of State, indicating your business is an active company

      • IRS letter awarding 501(c)3, or exempt/non-profit status

      • Registration of Alternate/Fictitious Name (if applicable)

      • SS-4 (IRS letter with your assigned tax ID or EIN) or W-9

  • Unincorporated Association (Non-Profit)

    • We may need additional documents to verify your Unincorporated Association (Non-Profit), including your tax-exempt status (the document awarding your 501(c)3) and letterhead from your non-profit that lists all authorized signers.

    • Acceptable documents to verify your Non-Profit:

      • IRS letter awarding 501(c)3, or exempt/non-profit status

      • Letterhead listing authorized signers

  • Unincorporated Association (For Profit)

    • To validate your Unincorporated Association (For Profit) we may need additional documents, such as letterhead from your business listing authorized signers and the IRS' letter containing your assigned EIN.

    • Acceptable documents to verify your Unincorporated Association (For Profit):

      • IRS Letter assigning EIN/Tax ID Filing Receipt

      • Letterhead listing authorized signers

      • Resolution

  • Trust

    • We may require you to provide documentation proving the identity of the Trust. This may include the original Trust Agreement and the IRS form SS-4.

    • Acceptable documents to verify your Trust:

      • Trust Certification

      • Trust Agreement or Excerpts designating the Trustee(s) and confer the power of the Trustee(s)

      • IRS Letter assigning the EIN/Tax ID Filing Receipt)

      • Registration of Alternate/Fictitious Name (if applicable)

  • Estate

    • To verify your estate, we may need documentation for the employer identification number (EIN) for the estate along with documentation from the court pertaining to who is named as the estate’s executor or administrator.

    • Acceptable documents to verify your Estate:

      • Original Surrogates Certificate / Court Order Naming Executor(s)

      • Original Death Certificate

      • IRS Letter assigning EIN / Tax ID Filing Receipt

  • Township / Municipality

    • We may need documentation that indicates all authorized signers, to help validate your business.

    • Acceptable documents to verify your Township / Municipality:

      • Letterhead indicating authorized signers
